The Literati™ Facebook® Sweepstakes (the "Sweepstakes") is sponsored by MerchSource, LLC (the "Sponsor"), 19517 Pauling, Foothill Ranch, CA 92610. The Sweepstakes is governed by these official rules ("Official Rules"). By participating in the Sweepstakes, each Entrant agrees to abide by these Official Rules, including all eligibility requirements, and understands that the results of the Sweepstakes, as determined by Sponsor and its agents, are final in all respects. The Sweepstakes is subject to all federal, state and local laws and regulations and is void where prohibited by law.

ELIGIBILITY

The Sweepstakes is open to individual legal residents of the fifty (50) contiguous United States of America (including the District of Columbia, Puerto Rico and U.S. territories/possessions) age 18 years or older and with valid Facebook and e-mail accounts, except employees and their immediate families (i.e., spouse, parent, child, sibling and their respective spouses, regardless of where they reside) and those living in the same households, whether or not related, of the Sponsor and their respective parents, subsidiaries, affiliates, divisions, trustees, franchisees, participating vendors, distributors, customers, licensors, suppliers, and advertising and promotion agencies (collectively, with the Sponsor, the "Sweepstakes Entities") are not eligible to enter or win. Entrants must submit all required information to be eligible to win. Entries missing required information will be disqualified. Sponsor has the sole right to verify the eligibility of each entrant.

SWEEPSTAKES PERIOD

The Sweepstakes begins on September 30, 2025 at 12:01:00pm PST and ends on October 16, 2025 at 12:00:00pm PST.

HOW TO ENTER

Enter through Literati™ Facebook® Fan Page. You can enter the Promotion "Liking" the Literati Fan Page at http://www.facebook.com/pages/Literati-Reader/146344775405036 (the "Literati™ Fan Page"). After successfully "Liking" the Literati™ Fan Page and providing an email address, the entrant will receive one (1) entry into the drawing. Limit one entry per person during the Sweepstakes Period. There is a limit of one (1) entry per person. Use of any automated or robotic system to enter is prohibited and will automatically result in disqualification.

Additional Entry Conditions: Sponsor has no obligation to advise an entrant of an incomplete or otherwise non-compliant entry. Sponsor is not responsible for lost, late, invalid, unintelligible, incomplete, garbled, or misdirected entries, which will be disqualified. No mailed, telephoned, faxed, or mechanically reproduced entries will be accepted. Proof of submission of an entry will not be deemed proof of receipt. Receipt of entries will not be acknowledged nor will proof of submission of an entry form be deemed proof of receipt. In the event of a dispute regarding the individual who actually submitted an entry, the entry will be deemed submitted by the person in whose name the Facebook account is registered. Potential winners may be required to show proof of being the authorized account holder.

WINNER SELECTION

All eligible entries received during the Sweepstakes Period will be entered into a sweepstakes drawing. Five (5) prize winners will be randomly selected on or about 1 p.m. PST on the Thursday following the close of each weekly period (October 21, 2025 from all eligible entries. Winner will be notified by Facebook message to their Facebook account or via email, at the sole discretion of the Sponsor. Each entrant is responsible for monitoring his/her Facebook and email accounts for prize notification and receipt or other communications related to this Sweepstakes. If a potential prize winner cannot be reached by Sponsor within fifteen (15) days, using the contact information provided at the time of entry, or if prize is returned as undeliverable, that potential prize winner shall forfeit the prize. Upon the request of the Sponsor, the potential winner may be required to return an Affidavit of Eligibility, Release and Prize Acceptance Form and IRS W-9 form. If a potential winner fails to comply with these official rules, that potential winner will be disqualified. Prize may not be awarded if an insufficient number of eligible entries are received.

PRIZES

Three (3) Prize winners will each receive one (1) Literati wireless electronic reader at an approximate market value ("AMV") of One Hundred Fifty Nine Dollars ($159) per unit, OR a Gift Card with a value of $159 redeemable at select retailers, for a total AMV of total prizes: $159.00

THE TOTAL AMV OF ALL PRIZES (5 PRIZES TOTAL): TBD ($795.00). No substitution or transfer of prizes or cash redemptions permitted by any winner. Sponsor reserves the right to substitute for any reason whatsoever a prize (or portion thereof) of comparable or greater value, in their sole discretion. Gift Cards are subject to terms and conditions of their issuer(s), including but not limited to redemption policies. Prizes are awarded "as is" with no warranty or guarantee, either express or implied by Sponsor. Winners are responsible for the reporting and payment of all taxes (if any), as well as any other cost and expense associated with acceptance and use of a prize not specified herein as being awarded. All prize details are determined by Sponsor in its sole and absolute discretion.

ADDITIONAL LIMITATIONS

Prize is non-transferable. No substitution or cash equivalent of prizes is permitted; however, the Sponsor reserves the right to substitute any prize with another of equal or greater value. Sponsor and its respective parent, affiliate and subsidiary companies, agents, and representatives are not responsible for any typographical or other errors in the offer or administration of the Sweepstakes, including, but not limited to, errors in any printing or posting or these Official Rules, the selection and announcement of any winner, or the distribution of any prize. Any attempt to damage the content or operation of this Sweepstakes is unlawful and subject to possible legal action by Sponsor. Sponsor reserves the right to terminate, suspend or amend the Sweepstakes, without notice, and for any reason, including, without limitation, if Sponsor determines that the Sweepstakes cannot be conducted as planned or should a virus, bug, tampering or unauthorized intervention, technical failure or other cause beyond Sponsor's control corrupt the administration, security, fairness, integrity or proper play of the Sweepstakes. In the event any tampering or unauthorized intervention may have occurred, Sponsor reserves the right to void suspect entries at issue. Sponsor and its respective parent, affiliate and subsidiary companies, agents, and representatives, and any telephone network or service providers, are not responsible for incorrect or inaccurate transcription of entry information, or for any human error, technical malfunction, lost or delayed data transmission, omission, interruption, deletion, line failure or malfunction of any telephone network, computer equipment or software, the inability to access any website or online service or any other error, human or otherwise.

INDEMNIFICATION AND LIMITATION OF LIABILITY

BY ENTERING THE SWEEPSTAKES, EACH ENTRANT AGREES TO INDEMNIFY, RELEASE AND HOLD HARMLESS SPONSOR AND ITS PARENT, AFFILIATE AND SUBSIDIARY COMPANIES, ADMINISTRATOR, ADVERTISING AND PROMOTIONAL AGENCIES, AND ALL THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, REPRESENTATIVES AND AGENTS FROM ANY LIABILITY, DAMAGES, LOSSES OR INJURY RESULTING IN WHOLE OR IN PART, DIRECTLY OR INDIRECTLY, FROM THAT ENTRANT'S PARTICIPATION IN THE SWEEPSTAKES AND THE ACCEPTANCE, USE OR MISUSE OF ANY PRIZE THAT MAY BE WON. SPONSOR AND ITS PARENT, AFFILIATE AND SUBSIDIARY COMPANIES DO NOT MAKE ANY WARRANTIES, EXPRESS OR IMPLIED, AS TO THE CONDITION, FITNESS OR MERCHANTABILITY OF THE PRIZE. SPONSOR AND ITS PARENTS, SUBSIDIARIES, AFFILIATES, ADVERTISING AND PROMOTIONAL AGENCIES, AND ALL THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, REPRESENTATIVES AND AGENTS DISCLAIM ANY LIABILITY FOR DAMAGE TO ANY COMPUTER SYSTEM RESULTING FROM ACCESS TO OR THE DOWNLOAD OF INFORMATION OR MATERIALS CONNECTED WITH THE SWEEPSTAKES.

PUBLICITY

By participating, each Entrant grants Sponsor permission to use his/her name, likeness or comments for publicity purposes without monetary payment, except where prohibited by law.

DISPUTES

Participant agrees that: (a) any and all disputes, claims and causes of action arising out of or connected with this Sweepstakes or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the United States District Court for the Central District of California or the appropriate State court located in Orange County, California, (b) all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering the Sweepstakes but in no event attorneys' fees, and (c) under no circumstances will entrant be permitted to obtain awards for and entrant hereby waives all rights to claim punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the entrant and Sweepstakes entities in connection with the Sweepstakes, shall be governed by and construed in accordance with the laws of the State of California without giving effect to any choice of law or conflict of law rules (whether of the State of California or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of California.
